1. Platform Overview & Ecosystem

XPI.LIFE operates as a decentralized Digital Out-Of-Home (DOOH) network connecting two primary parties:

• Screen Owners: Individuals or businesses hosting physical LED displays/billboards running the XPI APK to monetize screen time.
• Advertisers: Brands or users purchasing screen time to broadcast digital content across selected nodes in the network.

2. Advertiser Content & Legal Compliance

Advertisers bear sole legal and financial responsibility for all media (videos, images, text) uploaded via the XPI Web App. By launching a campaign, you guarantee that your content strictly complies with applicable local, national, and international laws.

XPI.LIFE and individual Screen Owners reserve the absolute right to reject, suspend, or terminate any campaign at their discretion without refund if it violates our safety standards.

3. Screen Owner Responsibilities & Hardware

• Hardware & Connectivity: Screen owners are strictly responsible for maintaining their physical displays, ensuring adequate weatherproofing, continuous power, and a stable internet connection for seamless APK synchronization.
• Uptime & Revenue: Ad revenue share is calculated based on verified play counts and network telemetry. Intentional network disconnection or hardware tampering during scheduled broadcasts may result in forfeiture of pending earnings.
• Right of Refusal: Screen owners maintain full editorial control over their hardware and may manually approve or reject pending ad campaigns tailored to their physical location.

4. Payments, Billing & Payouts

All financial transactions are processed securely through authorized payment gateways:

• Ad Spend: Advertisers prepay for campaign slots. Unused credits due to screen rejections or system downtime are credited back to the user's XPI wallet.
• Owner Payouts: Earnings accumulated by Screen Owners are disbursed according to our scheduled payout cycles once the minimum withdrawal threshold is met.

5. Software License & APK Usage

We grant you a limited, non-exclusive, non-transferable, revocable license to install and use the XPI mobile APK and web dashboard. You agree not to reverse-engineer, decompile, modify, or attempt to disrupt our streaming protocols or backend infrastructure.

6. Limitation of Liability

To the maximum extent permitted by law, XPI.LIFE shall not be liable for any indirect, incidental, or consequential damages arising from: (a) temporary network downtime or APK sync failure; (b) physical damage or theft occurring to external LED billboard hardware; or (c) third-party legal claims resulting from unauthorized advertiser content.

7. Account Termination

We reserve the right to suspend or terminate accounts immediately upon detecting fraudulent activity, manipulation of play metrics, security violations, or severe breaches of these Terms of Service.
